Mineral Sale Contract via Docusign

Is a DocuSign contract for sale revocable? Mineral deed is not signed.

I mean I’d sue you for specific performance if you signed a PSA via DocuSign.

That is a legal question which depends on the written terms of the contract, the state law of location of minerals and perhaps your residence, among other factors. Whether or not the other party would file suit may also depend on the size of the transaction, costs of litigation, what damages the other party has suffered, etc. The specific court will be important as minerals are real property and so a lawsuit would likely be filed in the county where the minerals are located, which may or may not be where you live. You should have your attorney review the sales contract and hopefully he will have reviewed it before you signed.

What are the circumstances? That’s a legal question and you can sue anyone for anything but what’s it worth to you?

Why? I have doc-signed a sales contract that is not the closing contract. What is the problem? I will check with the buyer about the formality of the closing.

I’m just saying what I would do. If they’ve relied on that sales contract to pay landmen and attorneys to conduct due diligence in reliance on you closing, then that is more than enough reason to sue. I’d sue you for specific performance and at worst hit you with hefty legal bills and place liens on property. Bad enough to not keep your word but breaking a written contract is much worse.
