I received the answers I needed....
I would wait for the lease to expire and then first right of refusal would probably be moot.
Heather,
Company A took total control of your minerals when you signed the lease. Company A will have control until the lease is terminated by its own terms or expires. By soliciting a new lease before termination of the old, you are really acting on behalf of Company A. Be patient. Company A will either let your lease expire, ask for an extension or find production. Company A paid for its rights. The best you can do is understand your property value and act accordingly if and when you regain control. Company B may have saved you a lot of heartache.
Someone would have to read the clause and look at the lease. A is probably trying to protect themselves from a top-lease. Is there an option to extend by A in the lease? I don't really understand what B has done either. B knows that it can't do anything for you because of the clause that no one has read. A hasn't been done any favors one way or another.
No, of course you didn't. That was understood. B was aware of the clause. We understand that B didn't make an offer, and that you didn't tell A that they did. A was probably just trying to get a feel for what was going on, or what your motivations were.
